Terms of Service

ExtraIssue is operated by HouseFlax, Via Aristotele 15, 20128 Milano, Italia, VAT 12786200969 ("we", "us"). By creating a desk you accept these Terms. If you are accepting on behalf of a studio or company, you confirm you are authorised to bind it.

ExtraIssue compares a client's request against a statement of work you supply, marks it in scope, out of scope, ambiguous or warranty, suggests a price and a timeline impact, and drafts a change order you can send.

It is a drafting tool, not advice. The classifications, prices and timeline figures are suggestions produced by a rules engine from the text you provide. They are not legal advice, and they do not create, vary or interpret any contract between you and your client. Read every draft before you send it; you are responsible for what you send and for what you charge.

Keep your password confidential and tell us promptly at hello@houseflax.com if you believe someone else has access. You are responsible for activity under your account. One account is for one studio; seat limits per plan are listed on the pricing page.

A new desk starts on a 7-day trial limited to 1 project and 25 items, with no card required. When the trial ends the desk becomes read-only until you choose a plan; nothing is deleted.

Paid plans start at $25 per month or $250 per year. All prices are in US dollars. HouseFlax operates under the Italian flat-rate scheme (regime forfettario, Art. 1 §§ 54–89 of Law 190/2014), so no VAT is charged and none appears on your invoice — the price you see is the price you pay. Subscriptions renew automatically for the same period until cancelled, and cancelling stops the next renewal while leaving the current period running to its end.

Payment is processed by Stripe. We never see or store your card details. Invoices are issued by HouseFlax and are available from Stripe's billing portal.

If you are a consumer in the EU you have 14 days to withdraw from a purchase. Because the service is delivered digitally and immediately, by starting to use a paid plan you ask us to begin at once and acknowledge that you lose the right of withdrawal once we have fully performed. Outside that, write to us within 14 days of a charge and we will refund the current period if the service has gone substantially unused.

The statements of work, messages, clients and change orders you put on the desk remain yours. You grant us only the limited licence needed to store, process and display that content back to you in order to run the service. We do not use it to train models and we do not disclose it, except to the providers listed in the Privacy Policy or where the law compels us.

You confirm you have the right to upload what you paste, and that it contains nothing unlawful and no special-category personal data.

Do not attempt to access another customer's data, probe or overload the service, resell it without our written agreement, or use it to prepare anything unlawful, defamatory or fraudulent. We may suspend an account that does, and will tell you why.

We aim to keep ExtraIssue available and to back up the database daily, but we do not promise uninterrupted service. Planned maintenance is announced in advance where practical. Keep your own copies of anything you cannot afford to lose — every change order can be printed or saved as a PDF from the desk.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited — including the mandatory rights of consumers under Italian and EU law.

Subject to that: the service is provided as is; we are not liable for indirect or consequential loss, for loss of profit, revenue or goodwill, or for any commercial decision you take on the basis of a suggested classification or price; and our total liability in any twelve-month period is limited to the amount you paid us in that period.

You may close your desk at any time by writing to hello@houseflax.com. We may end this agreement on 30 days' notice, or immediately for a serious breach of the acceptable-use section. On closure we erase your account and its contents within 30 days, as described in the Privacy Policy.

We may update these Terms. Material changes are announced in the product at least 30 days before they take effect; continuing to use ExtraIssue after that means you accept them. If you do not, you may cancel and we will refund the unused part of your period.

These Terms are governed by Italian law. Disputes go to the courts of Milano, Italia, except that a consumer may always bring proceedings in the courts of their own place of residence and retains every mandatory protection of the law there.
